Dear Governor:-

The Board of Directors at their last meeting passed the following resolution in regard to the convicts at work on the Elkin & Alleghany Railroad:-

"Whereas the convicts having been been placed on said works by order and authority of the Governor and Council of State, this Board has no authority in the matter and therefore can take no action."

I was instructed to furnish you copy of same.
