This agreement made and entered into the 14th day of November 1919 with the consent and approval of His Excellency the Governor, by and between the State Prison Board of North Carolina, through its Superintendent, J. R. Collie, party of the first part, and Allen Brothers, of Raleigh, N.C., party of the second part.

WITNESSETH, that for and in consideration of the sum of $1.00 paid to the party of the second part by the party of the first part, the receipt of which is hereby acknowledged and for the further consideration hereinafter mentioned and the mutual benefits derived therefrom, the party of the second part does agree to offer for sale for the party of the first part, on or before the fourth day of December 1919, or some future date as hereinafter mentioned, that certain tract of land known as the Caledonia or the State Prison Farm located in the County of Halifax, State of North Carolina and containing 7300 acres more or less; said tract of land to be subdivided by the party of the second part at their expense into farms of various sizes and to be offered for sale on the following terms and conditions:

FIRST: The party of the second part does agree to put the land in first class salable condition, to see that the same is properly surveyed and that each subdivision thereof is properly staked at the corner, that a map of said farm is printed with each subdivision appearing and showing the exact acreage. The party of the second part also agrees to furnish, on the day of the sale, conveyances for band and sales force, to provide privilege license tax if any be required and to assist in every way in handling that part of the crowd that may elect to come by train, to and from the railroad stations.

SECOND: The party of the second part does agree to advertise this sale in a thorough and business like manner, both through the daily press of this and adjoining States, hand bills and personal letters and in any other manner they may deem necessary in order to cause prospective purchasers to attend the sale of the property herein mentioned and the party of the second part also agrees to furnish, on the day of thesale a band with music and experienced auctioneering force to cry the sale, a corps of expert ground workers to assist the auctioneers in securing bids, marksmen to show the size of the farm being sold, helpers to mingle among the crowd showing the strong points of the property being sold. Book-keepers to keep an accurate account of the sale and all other help necessary to conduct the sale in a rapid and business like manner and to use every effort to sell this land for the highest possible dollar.

THIRD: The party of the first part agrees to pay the party of the second part, at the close of the sale, a commission of seven and one half per cent, in cash, provided the entire farm brings as much as $500,000.00 and the party of the first part reserves the right to refuse to ratify the sale, or any portion thereof, if the total sales do not aggregate $500,000.00, but if that portion of the land sold brings a sum which in the opinion of the party of the first part will enable them to sell the remainder or that part unsold, for an amount that will easily bring the sum that will make the total amount of the sale $500,000.00 then the party of the first part will ratify the sale of the portion sold and give ten months from the date of the sale to complete the transaction. The party of the first part agrees to place a minimum price on each lot or tract of this land so that the sum total will aggregate $500,000.00 and they further agree that on the day of the sale they will designate some one person to act with the party of the second part and pass upon any variation, either above or below the minimum price as set out and also the reliability and desirability of all bids received and should the party of the first part elect to reject or protest against any bid, after the land has been sold, the party of the second part agrees to resell such land on the date of the sale without extra expense whatever to the party of the first part.

FOURTH: The party of the first part agrees that should only a portion of this sale be ratified at the first sale, as set out in section three of this agreement, that they will pay to the party of the second part a cash commission of seven and one half per cent of the aggregate amount of that portion sold, at the close of the sale and a like amount of seven and one half per cent of the aggregate amount will be paid when the remainder of the farm is sold, during the ten months period therein mentioned.

FIFTH: It is further mutually understood and agreed that in the event of the first date set for the sale, viz., December 4th, 1919, the weather should be such that it is deemed advisable to postpone the sale to some date, there and then to be agreed upon, that the party of the second part will, at their own expense re-advertise and do every act necessary and in their power to sell this farm for a price that is satisfactory to the party of the first part, at the next agreed date.

SIXTH: The party of the first part agrees that the term of this sale may be one fourth cash and the balance in one, two and three years, with six per cent interest from date of sale on all deferred payments, and the party of the first part agrees to make a good warranty deed to all purchasers complying with the terms of this sale, to take all notes which are derived from this sale at their face value. The party of the second part agrees to collect for the party of the first part the first payment of one fourth of the purchase price on these tracts of land on the day of sale. It is further agreed that all arrangements between both parties of this contract shall be null and void unless reduced to writing and made a part thereof.
